The Act created a special category of company
known as an International Business Company (IBC).
The law was enacted to permit asset protection and
tax minimization planning at competitive rates.

Some of the attributes of IBC's are as follows:

Total exemption from all forms of local taxation
including Stamp Duty.

Speedy and simple incorporation for fast reaction to
instant planning needs.

Only one subscriber and thereafter one shareholder
(who could be corporate) is required.

IBC's may have only one director. Directors can be
corporate and need not be resident in the country.

Meetings of shareholders and/or directors may be
held in any country, at any time and they may attend
meetings by proxy.

Bearer shares may be issued. No accounts or
information pertaining to the identity of shareholders
or directors need be filed on public record. An IBC's
Register of Shareholders is available for inspection
only by shareholders or by order of the Belize Courts
at the request of a shareholder.

Shares can be issued without par value.

Minimum capital requirements.

Limited filing requirements, mainly certificate of
incorporation, memorandum and articles of
association, registered office and name and address
of registered agent.

IBC name may be in any language and must include
the words "Limited", Corporation", "Incorporated",
"Society Anonyme" or "Sociedad Anonima" or their
usual abbreviations.


A wide range of applications.

IBC's can be used for financial management,
investment holding, ship or property ownership,
share ownership of other companies, leasing of
assets, copywriting and/or licensing as well as
general commercial trading.

No exchange control.

Private Label Company availability.

Private Label Company
For our normal incorporation fee, an IBC Company
can be formed which bears a name similar to that of
its non- Belize parent Company.

The gains to be accrued from a private IBC
Company are:

(1) A group identity recognition by having the parent
and the Belize entity using similar names;

(2) The cost effectiveness of the exercise by:-
a) Eliminating the need to establish a fully manned
office in Belize, thus avoiding staff, rental, general
office and equipment expenditure.

b) Not having to incur additional license or filing fees
nor having to fulfill any capitalization requirements,
as apply in other jurisdictions;

c) The low basic cost of Belize IBC's formed under
the off-shore company's banner which could lead to
profit margin increases on the re-sale of such IBC's;



(3) Security anonymity and confidentiality as Belize
does not require disclosure of information on the
Belize IBC company, nor are there any accounting or
audit requirements.

(4) The reinforcement of security and peace of mind
for the parent's own clients, as they are reassured
that the necessary offshore duties are being
performed by an organization known to and trusted
by them.


Administration
(1) Presently, a company cannot be an IBC if it
carries on business with residents of Belize, owns
real estate in Belize, carries on business as a Bank
or Insurance Company or provides a Registered
Office for other companies.

(2) The Act requires that every IBC have a
registered office and a registered agent in Belize.

(3) The IBC Experts Registered Agents Department
provides these services of company incorporation,
and the provision of corporate directors and
shareholders, at reasonable cost.
